12. Dispute Resolution
Any dispute arising under this agreement shall be resolved through a negotiation/mediation/arbitration

in accordance with the commercial arbitration rules of the American Arbitration
Association. The arbitration may be conducted by one impartial arbitrator by mutual

14. Beyond the reasonable control

or failure in performance under this agreement or interruption of service resulting
directly or indirectly from acts of God, civil or military authority, acts of public
enemy, war, riots, civil disturbance, insurrections, accidents, fire, explosions,
earthquakes, floods, the elements, strikes labor disputes, shortage of suitable
parts, materials, labor or transportations, magnetic interference, interruptions
of electrical power or other utility service, unavailability of any telecommunications
